Welcome to Unpuzzle. We simplify the resolution of underpaid or denied service-lines to help medical billing professionals recover revenue through guidance and explanation.
These Terms of Service (the "Terms") constitute a legally binding contract between you (the "End User") and Unpuzzle LLC, a Wyoming limited liability company located at 1621 Central Avenue, Cheyenne, Wyoming 82001 ("The Company"). By accessing or using the Unpuzzle platform, website, or services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Scope of Service and Content
These Terms govern your access to the Service and any video, sound, text, graphics, or medical coding data sent, received, or stored within the Service (collectively, "Content"). We reserve the right to change these Terms at any time. If a change is material, we will notify you before it takes effect. By continuing to use the Service on or after that date, you agree to the updated Terms. If you do not agree to the new Terms, you must delete your account before they take effect.
2. Use of the Service
Unpuzzle provides a standalone reference platform for internal business purposes.
- Age Requirement: You must be 18 years or older.
- Account Responsibility: Your account is strictly personal. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
- Lawful Use: You agree to use the Service only for lawful purposes. You may not use the Service to infringe upon the intellectual property rights of others or to engage in fraudulent billing practices.
3. AMA CPT End User License Agreement (EULA)
Access to certain portions of the Service, including Current Procedural Terminology (CPT) codes and descriptions, is subject to the following mandatory terms required by our licensor, the American Medical Association (AMA).
3.1 Ownership and License Grant:
- Proprietary Rights: You acknowledge that the Licensed Content is copyrighted by the American Medical Association and that CPT is a registered trademark of the AMA.
- Grant of Sublicense: Unpuzzle, as a party to a license agreement with the AMA, grants you a limited, non-exclusive, non-transferable, and non-sublicensable license for your internal use only within the authorized Territory.
- Relationship Dependency: The provision of updated Licensed Content in the Service is dependent on a continuing contractual relationship between Unpuzzle and the AMA.
3.2 Term and "Tail Period": Upon termination or expiration of the Agreement between Unpuzzle and the AMA, we will notify you. You shall continue to have the right to use the Licensed Content in the Service for the remainder of the year of the then-current annual release (the "End User Tail Period"). Your continued use during this period is subject to your compliance with these terms. Upon the expiration of the End User Tail Period, this sublicense shall automatically terminate.
3.3 Strict Prohibitions:
- Making the Licensed Content publicly available.
- Creating derivative works, including translating the Licensed Content.
- Transferring, selling, leasing, licensing, or otherwise making available the Licensed Content (or any copy/portion thereof) to any unauthorized party, including subsidiaries, affiliates, or other legal entities.
3.4 Disclaimers and Use of Content:
- "As Is" Warranty: To the extent permitted by applicable law, your use of the Licensed Content is at your sole risk and is provided "as is" without warranty of any kind.
- No Practice of Medicine: The AMA does not directly or indirectly practice medicine or dispense medical services.
- Coding as a Guide: The coding information provided is a guide only and does not replace the AMA's Current Procedural Terminology book or other appropriate coding authorities. Fee schedules, relative value units, or conversion factors are not assigned by the AMA and are not part of CPT.
3.5 Records, Audits, and Consents:
- Record Keeping: You are required to keep records and submit reports necessary for the calculation of royalties payable to the AMA. You expressly consent to the release of your name and such information to the AMA.
- Verification: You agree to provide, without delay, additional information that the AMA (as a third-party beneficiary) may reasonably request to verify information, provided it does not violate federal or state privacy laws.
- Compliance: You must ensure that anyone with authorized access to the Service through your account complies with the provisions of this agreement.
3.6 Third-Party Beneficiary: The AMA shall be named as a third-party beneficiary of this Agreement and may enforce these terms directly against you.
3.7 U.S. Government End Users: CPT is commercial technical data, developed exclusively at private expense by the American Medical Association, 330 North Wabash Avenue, Chicago, Illinois 60611. This agreement does not grant the Federal Government a direct license to use CPT based on FAR 52.227-14 (Data Rights - General) and DFARS 252.227-7015 (Technical Data - Commercial Items).
4. Disclaimer of Professional Advice & Results
Unpuzzle provides a software-as-a-service platform designed to optimize medical billing workflows.
- No Guarantee of Results: Unpuzzle is a reference tool provided for informational purposes only. We do not guarantee that the use of our Service will result in the successful resolution or "fixing" of any denied or underpaid claim. The final decision regarding code selection and claim submission rests solely with you.
- No Medical or Legal Advice: The Services do not constitute legal, financial, or medical advice. You should consult with an appropriate professional for specific advice tailored to your situation.
- User Responsibility & Upcoding: You are solely responsible for ensuring that all medical coding and billing submissions are accurate, medically necessary, and compliant with all applicable laws and payer regulations. Unpuzzle does not encourage or endorse "upcoding," "unbundling," or any fraudulent billing practices. You assume all risks associated with the codes you select.
5. Subscription & Payment
- Fees: Certain features require a paid subscription. Fees are non-refundable except as required by law.
- Changes: We reserve the right to modify fees with at least 30 days' notice.
- Payment Failures: Failure to settle invoices may lead to the suspension or deletion of your account.
6. Limitation of Liability & Indemnity
- Limitation of Liability: To the fullest extent permitted by law, Unpuzzle's total liability for any claim shall not exceed the amount paid by you for the Service during the 12 months preceding the claim.
- Indemnity for Misuse: You agree to indemnify and hold Unpuzzle and the AMA harmless from any claims, audits, fines, or penalties (including those from CMS, OIG, or private payers) arising from your selection of codes, your submission of inaccurate data, or any allegations of fraudulent billing practices or "upcoding" performed while using the Service.
7. Termination
You may stop using the Service at any time. Unpuzzle reserves the right to terminate your access immediately if you violate these Terms. Sections 3, 4, and 6 shall survive termination.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Delaware.
